This Section of the Terms provides you with a limited overview of some of the essential terms of our Services and your purchases of our product for clarity. There are a few terms we highly recommend that you review in our terms and conditions in advance of any purchase. These terms include our policy on replacement services for technical difficulties taxes and regulatory fees applicable to the service. Minute delivered prompts. 1. Reservation of Rights. Rapitel.com reserves the right to refuse service to anyone through its website for any reason at any time.

2. Governing Law, Jurisdiction & Venue. These Terms of Use shall be governed exclusively and construed in strict accordance with the laws of the State of Florida. Customer, by virtue of purchase through this website, agrees to submit to exclusive jurisdiction and venue of the state and federal courts of Miami-Dade County Florida, and, expressly waive all defenses to jurisdiction without any consideration of conflict of law theories, case law or principles.

3. Electronic Contract for Service. All services purchased on rapitel.com are done by a Browser Wrap format of electronic contract. Rapitel.com shall make available to you the Terms of this Browser Wrap agreement in separate format upon request. You may request access to these electronic records in either Adobe Acrobat or standard text formats. Likewise, they are available here on the website.  At all times, you retain the right to request and receive documents on paper upon request to Rapitel.com via e-mail or through our customer service line at 305-513-0659. Rapitel.com shall make available these terms in electronic format upon such request. At all times, you retain the right to request and receive documents on paper upon request to Rapitel.com via e-mail or phone. 

4. Use of Rapitel.com Services. The Rapitel.com Service is intended for Personal usage only. It is not intended to be aggregated, resold or provides primary services to call shops, call centers, telemarketing services or professionals, or any other variant of business usage outside of an individual’s use of the calling service for purposes. Rapitel.com reserves the sole right to review usage of the Rapitel.com Service and terminate such service if it reasonably believes that the account is being abused or used for purposes other than Personal usage only. You shall not resell or transfer the Service or Account Access to another party without our prior written consent. You are prohibited from using the Service or Account Access for auto-dialing, continuous or extensive call forwarding, telemarketing (including, without limitation, charitable or political solicitation or polling), fax or voicemail broadcasting or fax or voicemail blasting. We reserve the right to immediately terminate or modify your Service if we determine, in our sole and absolute discretion, that you have at any time used the Service or an Application for any of the aforementioned or similar activities.

5. Regulatory Fees & Taxes. Any applicable sales, use, excise, utility or other taxes, or regulatory fees or charges imposed on CTI Telecom as a result of providing the international calling services or services via an Application will be deducted from prepaid amounts loaded to Customer's account and is a cost of Service when imposed or required by law. This includes Florida Communication Service or sales taxes associated with customer Mobile Numbers based in Florida. Rapitel.com applies these taxes to the uploaded value that you pay for the service.  The average of taxes and fees has been calculated on a fixed percentage rate by Rapitel.com based upon the jurisdiction from which it sells services, the State of Florida. The prevailing rate for all federal and state taxes and regulatory fees paid on service is 18%.  This percentage shall be deducted from every prepaid amount paid or prepaid value recharged for prepaid services.  Net value and minutes available for calling are announced on Rapitel.com voice prompts accessed when placing a call.  Contact our customer service for information on applicable taxes and fees associated with your service. 

6. Disclosed Minutes through the Voice Prompt. Upon use of the Service, you will be prompted to an Interactive Voice Prompt (IVR) that shall disclose the available minutes you have available based on rates to that destination and applied regulatory fees and taxes. All rates advertised are applicable rates before taxes and fees. Should you have any question regarding the applied Rate, hang up before Service is completed and contact our Customer Service Line at 305-513-0659 for clarification. . 

7. Credit/Debit Card Charges. No Credit or Debit Cards payments will be accepted by Rapitel.com from Credit Card Issuers that are not regulated Issuers in the United States of America – U.S. Cards only. You must provide and pay from valid credit card (Visa, MasterCard, Discover, American Express or any other issuer then-accepted by Rapitel.com) of which you are the authorized cardholder when purchasing, activating or re-charging any Rapitel.com service. Should the Customer authorize automatic bill payment by credit card, it thereby authorizes Rapitel.com to charge the credit card account number for all applicable Rapitel.com usage charges that accrue during their 30 day service cycle. Such authorizations will remain valid until terminated by proper notice to Rapitel.com through this website, or, in writing. You must notify Rapitel.com in writing within seven (7) days after receiving your credit card statement if you dispute any Rapitel.com charges for Rapitel.com services on that card statement or otherwise such dispute will be deemed waived.  Any applicable billing discrepancy resulting in the consumer initiating a charge-back by the credit card provider through Federal Truth in Lending Act,  12 C.F.R. Part 266 (1998), REG-Z, are not waived and Rapitel.com must be given a reasonable time investigate the nature of the Customer’s claim, billing and the specific charge.

8. Payment Network Rules. rapitel.com accepts PAYPAL™ Apple Pay,™ and other merchant processors (Payment Networks) at its online checkout. The Payment Networks that process online payments on our site have established guidelines, bylaws, rules, and regulations (“Network Rules”). Rapitel.com is required to comply with all applicable Network Rules that are applicable to merchants using an online purchase check-out. These Rules are publically available from PAYPAL™ and Apple Pay™ and can be sent to you upon request by Rapitel.com upon written request. The Card Networks reserve the right to amend the Network Rules. Rapitel.com also reserves the right to amend its Terms and Conditions at any time as necessary to comply with Network Rules or otherwise redress changes in the Credit or Debit Cards the Payment Networks use or may accept for transactions.

9. com and CALEA Compliance. Be advised that should a request come from governmental or law enforcement agencies, with the authority to require Rapitel.com to report information related to your services, or, should law enforcement request this information or access pursuant to CALEA or the Patriot Act, Rapitel.com shall be obligated to cooperate and disclose this information in accord with the laws of the United States of America and the State of Florida.

10. Phone Number and PIN Security. You are responsible for maintaining the confidentiality and security of your Mobile phone and the Rapitel.com account number that is associated with your Personal ID Number (called a PIN). You are responsible for all uses of your phone and account, whether or not actually or expressly authorized by you. Any unauthorized access of your Rapitel.com PIN that is the result of your negligent handling of the Rapitel.com service is expressly your liability. You expressly waive all legal defenses and relief against Rapitel.com for any collectable debt that arises from the unauthorized access of their services, by and through their PIN and/or account that is a result of their own mishandling, negligence, or intentional disclosure of their Phone Number or associated with a Rapitel.com PIN.  

11. Inappropriate Use and/or Conduct as cause for termination or breach of Agreements. You agree to use the Rapitel.com Service and Application for lawful purposes only. You shall not use, or allow any third (3^rd) parties to use, the Service or the Application in any way that is unlawful, harmful, threatening, libelous, deceptive, fraudulent, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, discriminatory, or other objectionable material of any kind, including, without limitation, material that encourages unlawful conduct. If Rapitel.com believes, at its sole discretion, that a customer has engaged in any of the foregoing conduct, Rapitel.com reserves the right to (i) immediately suspend or terminate your Service; and/or (ii) forward the offensive materials, your communications with Rapitel.com, and your identify and other personal information to the proper authorities for investigation and prosecution. You consent to the forwarding of any such communications and information to these authorities or law enforcement. In the event of such termination, you will be responsible for the full month's charges to the end of the current term, including, without limitation, unbilled charges, plus a termination fee, if applicable, all of which will become immediately due and payable upon termination of your Service.

12. No Warranties On Service.COM DOES NOT MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE OR NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES OR MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH REGARD TO THE SERVICES OR APPLICATION, ANY TRANSACTION PERFORMED THROUGH THE SERVICES OR ON THE INTERNET GENERALLY, OR AS TO THE QUALITY OF THE CALL. RAPITEL.COM SHALL NOT BE LIABLE FOR ANY COST OR DAMAGE ARISING EITHER DIRECTLY OR INDIRECTLY FROM ANY SUCH TRANSACTION, USE OF THE SERVICE OR APPLICATION. RAPITEL.COM DOES NOT WARRANT THAT THE SERVICES OR APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE OR WILL OPERATE WITHOUT FAILURE, PACKET LOSS, DEGRADATION OR INTERRUPTION NOR DOES RAPITEL.COM WARRANT ANY CONNECTION TO OR ANY TRANSMISSION OVER THE INTERNET OR THAT ANY DEFECTS IN THE SERVICES OR MATERIALS WILL BE CORRECTED. NEITHER RAPITEL.COM NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES OR AGENTS, OR ANY OTHER SERVICE PROVIDER OR VENDOR WHO FURNISHES SERVICES, APPLICATIONS, OR PRODUCTS TO CUSTOMER IN CONNECTION WITH THE SERVICE, WILL BE LIABLE FOR UNAUTHORIZED ACCESS TO OUR OR YOUR TRANSMISSION FACILITIES OR PREMISES EQUIPMENT OR FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF, CUSTOMER'S DATA FILES, PROGRAMS, PROCEDURES OR INFORMATION THROUGH ACCIDENT, FRAUDULENT MEANS OR APPLICATIONS OR ANY OTHER METHOD, REGARDLESS OF WHETHER SUCH DAMAGE OCCURS AS A RESULT OF RAPITEL.COM OR ITS SERVICE PROVIDER'S OR VENDORS' NEGLIGENCE. STATEMENTS AND DESCRIPTIONS CONCERNING THE SERVICE OR RAPITEL.COM DOWNLOADABLE APPLICATION, IF ANY, BY RAPITEL.COM, OR OUR AGENTS, OR INSTALLERS ARE INFORMATIONAL AND ARE NOT GIVEN AS A WARRANTY OF ANY KIND.

13. Expressed Limitation Of Liability. IN NO EVENT WILL RAPITEL.COM BE LIABLE TO THE CUSTOMER FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS, DATA OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE, SERVICES OR MATERIALS, OR ANY TRANSACTIONS PROVIDED ON THE SERVICE OR DOWNLOADED OR HYPERLINKED FROM THE SITE, EVEN IF RAPITEL.COM OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH, OR HYPERLINKED FROM, THE SITE.

14. Indemnification. You, the Rapitel.com/CTI Telecom Customer, agrees to indemnify, defend and hold Rapitel.com, its officers, directors, employees, agents, shareholders, licensors, suppliers, business partners and any third party information providers to the Site, Services or Applications from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from Customer’s use of any Services or Applications, including, without limitation, any violation of this Agreement by Customer. The provisions of this paragraph are for the benefit of Rapitel.com and its officers, directors, employees, agents, shareholders, licensors, suppliers, business partners and any third party information providers to the Site, or Services. Each of these individuals or entities shall have the right to assert and enforce these provisions directly against Customer on its own behalf.

15. No Warranties On Web Site. HYPERLINKS OR OTHER WEB PAGES ACCESSIBLE FROM THE SITE WILL ENABLE YOU TO LEAVE RAPITEL.COM’S SITE. THE LINKED SITES ARE NOT UNDER THE CONTROL OF RAPITEL.COM AND RAPITEL.COM IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. 17. Copyright. All Services, Software and Materials found at this Website are protected under U.S. Copyright, or, by and through other intellectual property laws. Any commercial use of the Services Software, and Materials found on the Website is strictly prohibited, without the express, prior, written consent of CTI Telecom d/b/a Rapitel.com. Any reproduction or redistribution of the Services and/or Materials not in accordance with the terms set forth herein is expressly prohibited by law, and may result in severe civil and criminal penalties.

This Website was last updated on November 9, 2022 and shall be revised every six (6) months for policy changes and corrections to electronic contracts. All Rapitel.com Services shall be subject to the then posted Terms and Conditions where they do not conflict with existing Electronic Contract Terms of a Customer that have not be Noticed to the Customer by e-mail thirty (30) days prior to their effect.
